SAMURAI+ Terms and Conditions

1. Acceptance of Terms

By accessing or using SAMURAI+ (the “Service”), operated by jyrex LLC (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including individuals and entities subscribing to SAMURAI+.

2. Description of Service

SAMURAI+ is a subscription‑based platform providing access to over 100 premium Webflow and Framer templates, including Figma files and monthly updates.

We offer the following subscription plans:

Monthly: Recurring access billed every 30 days.
Annual: Recurring access billed yearly with a discount.
Lifetime: One‑time payment for perpetual access.

Plan details and pricing are available at flowsamurai.com/samurai-plus. We reserve the right to modify, suspend, or discontinue any part of the Service at our discretion, with or without notice.

3. Eligibility

To use SAMURAI+, you must:

Be at least 18 years old.
Have the legal capacity to enter into binding contracts.

By subscribing, you confirm that you meet these eligibility requirements.

4. Subscription and Payment

4.1. Subscription Plans

SAMURAI+ offers Monthly, Annual, and Lifetime access plans. Pricing and features may change; existing subscribers will be notified of material updates via email or on our website.

4.2. Payment

Payments are processed securely through Stripe. You agree to:

Provide accurate and current payment information.
Authorize us to charge your selected payment method for recurring fees based on your chosen plan.

4.3. Refunds

Lifetime Plans: All sales are final and non-refundable due to immediate access to the full template library.
Monthly and Annual Plans: You may request a refund within 7 days of your initial subscription or renewal payment, provided you have not downloaded any templates.

4.4. Cancellation

You may cancel your subscription at any time via your account settings on the SAMURAI+ platform. Upon cancellation:

Access to templates and updates will end at the close of your current billing cycle.
No further charges will be applied.

5. User Obligations

5.1. Account Security

You are responsible for:

Keeping your account credentials confidential.
All activities that occur under your account.
Notifying us immediately at design@flowsamurai.com if you suspect unauthorized use.

5.2. Permitted Use

You may use SAMURAI+ templates for personal or commercial projects under a single‑user license. This means:

Only you, the subscriber, may use the templates.
You may not resell, redistribute, or share templates with others.

5.3. Prohibited Conduct

You agree not to:

Reverse‑engineer, decompile, or modify any templates or files.
Use the Service for illegal purposes or in violation of applicable laws.
Attempt to access our systems or other users’ accounts without authorization.

6. Intellectual Property

6.1. Ownership

All templates, Figma files, and related content provided through SAMURAI+ are owned by jyrex LLC and protected by U.S. copyright and intellectual property laws.

6.2. License

Upon subscribing, you receive a non‑exclusive, non‑transferable license to:

Download and use templates for your own projects.
This license terminates if your subscription ends or is terminated.

6.3. User Content

Any content you upload to the Service remains your property. You grant us a non‑exclusive, worldwide license to store and process it as necessary to deliver the Service.

7. Termination

7.1. By You

You may terminate your account by canceling your subscription through your account settings.

7.2. By Us

We may suspend or terminate your account, with or without notice, if you:

Violate these Terms.
Fail to make payment when due.
Engage in fraudulent or illegal activity.

7.3. Effect of Termination

Upon termination:

Your access to new templates and updates will cease.
You may continue using previously downloaded templates under the license terms.

8. Limitation of Liability

To the fullest extent permitted by law, jyrex LLC shall not be liable for any indirect, incidental, or consequential damages (e.g., lost profits, data loss) arising from your use of the Service. Our total liability to you will not exceed the amount you paid for SAMURAI+ in the 12 months prior to any claim.

9. Disclaimer of Warranties

SAMURAI+ is provided “as is” without warranties of any kind, express or implied. We do not guarantee:

Uninterrupted or error‑free access to the Service.
That templates will meet your specific needs or expectations.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes arising from these Terms shall be resolved in the courts of Sheridan, Wyoming. You agree to attempt informal resolution with us before pursuing legal action—contact us at design@flowsamurai.com.

11. Changes to Terms

We may update these Terms at any time. Changes will be posted at flowsamurai.com/terms and take effect immediately. Your continued use of SAMURAI+ after updates constitutes acceptance of the revised Terms.
